These Terms of Service ("Terms") constitute a legally binding agreement between you and Global Skills Connect Pty Ltd (ABN 37 682 821 049) governing your use of our Website, Services, and platforms. By accessing our Website or engaging our Services in any capacity, you unconditionally agree to be bound by these Terms and our Privacy Policy.
Terms of Service - Global Skills Connect Pty Ltd
These Terms of Service ("Terms") constitute a legally binding agreement between you and Global Skills Connect Pty Ltd (ABN 37 682 821 049) governing your use of our Website, Services, and platforms. By accessing our Website or engaging our Services in any capacity, you unconditionally agree to be bound by these Terms and our Privacy Policy.

These Terms contain critical provisions including: a disclaimer that Global Skills Connect works with Registered Migration Agent and provides immigration assistance (Section 15); limitations on our liability (Section 13); your indemnification obligations (Section 14); an employment disclaimer (Section 16); and a binding dispute resolution process (Section 21). If you do not agree to these Terms in full, do not use our Website or Services.
Acceptance of Terms
You accept these Terms by doing any of the following:
- Accessing or browsing our Website at www.globalskillsconnect.com.au or globalstudyplan.com
- Submitting any enquiry, registration, job application, or contact form
- Registering as a candidate, employer client, or partner
- Engaging with any of our Services in any capacity - in person, by telephone, by email, or digitally
- Signing a Service Agreement with Global Skills Connect
Relationship Between These Terms and Service Agreements
For Employers and Partners, a separate written Service Agreement governs specific scope, fees, deliverables, and commercial terms. These Terms apply in addition to any Service Agreement. In the event of inconsistency between a Service Agreement and these Terms, the Service Agreement prevails to the extent of the inconsistency, unless the inconsistency relates to liability, indemnification, or the migration disclaimer - in which case these Terms prevail.

| "Employer" | Any business, company, or entity engaging Global Skills Connect for workforce solutions, recruitment, staffing, migration advisory, or related employer services. |
| "Partner" | Any agency, institution, RTO, migration professional, or international representative engaged under a Partner Agreement with Global Skills Connect. |
| "User" | Any individual or entity who accesses the Website or uses any Service - including Candidates, Employers, Partners, and general visitors. |
| "Placement" | The successful securing of a job offer or commencement of employment for a Candidate through Global Skills Connect's Services. |
| "Service Agreement" | A written agreement, proposal, letter of engagement, or contract between Global Skills Connect and an Employer or Partner setting out specific service terms, scope, and fees. |
| "Immigration Assistance" | Has the meaning given in section 276 of the Migration Act 1958 (Cth) - work or advice that is capable of affecting a visa or migration outcome. |
| "MARA" | Migration Agents Registration Authority - the regulatory body that registers and regulates migration agents in Australia under the Migration Act 1958 (Cth). |
| "GST" | Goods and Services Tax imposed under the A New Tax System (Goods and Services Tax) Act 1999 (Cth). |
| "Intellectual Property" | All rights in patents, trademarks, service marks, trade names, domain names, copyright, trade secrets, know-how, and proprietary methodologies, whether registered or unregistered. |
Description of Our Services
Global Skills Connect provides the following categories of services. Specific scope, fees, and terms are confirmed in a Service Agreement or in writing before commencement:

| Visa & Sponsorship Advisory | Coordination, documentation preparation support, and process management for employer-sponsored visas - conducted through or supervised by Amrit Tewari (MARA 1382952). |
| Employer Support & Workforce Continuity | Post-placement support, compliance monitoring, onboarding guidance, and workforce retention advisory for employer clients. |
| Job Matching & Career Placement | Career assessment, strategic job matching, interview preparation, and structured employment placement for individual candidates. |
| Visa & Migration Guidance for Candidates | Pathway assessment and process facilitation - with all formal immigration assistance conducted by Amrit Tewari (MARA 1382952). Global Skills Connect does not directly provide immigration assistance. |
| RPL & Skills Assessment | Support for Recognition of Prior Learning and skills assessment applications to recognised Australian assessing bodies. |
| Education Pathways | Student enrolment assistance, admissions coordination, student visa facilitation through MARA-registered partners, and education-to-workforce pathway advisory. |
| Partner Services | Collaboration, candidate sourcing coordination, placement facilitation, and co-branded business development for professional and education partners. |
| Job Board | Online job listings and application facility at www.globalskillsconnect.com.au/jobs. |
| Insurance Referral | Facilitation of OSHC and OVHC health cover comparison and procurement via our affiliated insurance portal. We act as a referral facilitator only - the insurer's terms and conditions apply. |
Eligibility
To use our Services, you must:
- Be at least 18 years of age and have full legal capacity to enter binding contracts or under 18 with verified parental or guardian consent
- Not be subject to any legal prohibition against receiving our Services in your jurisdiction
- Provide accurate, current, complete, and truthful information as required
- Hold, or be genuinely seeking to obtain, any licences, permits, or visa authorisations relevant to your use of our Services
User Accounts and Registrations
When registering or engaging our Services, you agree to and are solely responsible for:
- Providing and maintaining accurate, complete, truthful, and current information at all times
- Immediately notifying us of material changes including changes to visa status, work rights, qualifications, employment circumstances and contact details
- Not impersonating any person or entity or misrepresenting your identity, qualifications, or work rights
- Not submitting falsified, forged, altered, or fraudulent documents of any kind. Note: submitting fraudulent documents for visa or employment purposes is a criminal offence in Australia under the Criminal Code Act 1995 (Cth)
- Maintaining confidentiality of any login credentials or access details associated with our Services
- All activities conducted under your registration or associated with your submissions
Employer Obligations
6.1 - Accuracy and Fair Representation
- Provide accurate, truthful, and complete information about your business, vacancies, role requirements, salary, remuneration, working conditions, and workplace environment
- Not advertise roles with misleading, deceptive, or false employment terms
- Promptly notify Global Skills Connect of any material changes to a role prior to or following placement
6.2 - Anti-Discrimination and Employment Law Compliance
- Treat all candidates fairly under the Fair Work Act 2009 (Cth), Age Discrimination Act 2004 (Cth), Racial Discrimination Act 1975 (Cth), Sex Discrimination Act 1984 (Cth), Disability Discrimination Act 1992 (Cth), and applicable State and Territory anti-discrimination legislation
- Comply with all National Employment Standards (NES) and applicable Modern Awards under the Fair Work Act 2009 (Cth) for all placements
- Not reject or disadvantage any candidate on any protected attribute under Australian law
6.3 - Immigration and Sponsorship Compliance
- Comply with all obligations of an Approved Sponsor under the Migration Act 1958 (Cth) and Migration Regulations 1994 if engaging candidates on employer-sponsored visas
- Not engage in conduct prohibited under the Migration Amendment (Strengthening Employer Compliance) Act 2023 (Cth), including underpaying or exploiting sponsored workers
- Cooperate fully with any Department of Home Affairs compliance audit or monitoring activity
- Immediately notify Global Skills Connect if you receive any adverse regulatory action or compliance notice from the Department of Home Affairs that affects your sponsorship status
6.4 - Non-Circumvention and Fees
- Pay all agreed service fees in accordance with the applicable Service Agreement or invoice terms
- Not directly engage, contract, or hire any candidate introduced by Global Skills Connect through any channel outside our Services for a period of 12 months from the date of introduction, without prior written agreement and payment of applicable placement fees
- Immediately notify Global Skills Connect of any candidate withdrawal, termination, or resignation within the replacement guarantee period specified in the Service Agreement
6.5 - Confidentiality
- Maintain strict confidentiality of all candidate profiles, personal information, commercial terms, and proprietary information received from Global Skills Connect
- Not disclose candidate information to any third party without Global Skills Connect's prior written consent
- Use candidate information solely for the specific recruitment purpose for which it was provided
Candidate Obligations
- Provide truthful, accurate, and complete information - including qualifications, work experience, employment history, visa status, and Australian work rights - at all times and update us promptly if circumstances change
- Not submit forged, falsified, altered, or misleading documents of any kind. This includes academic transcripts, trade certificates, references, employment records, and identity documents. Submitting fraudulent documents for visa or employment purposes is a criminal offence in Australia under the Criminal Code Act 1995 (Cth) and may result in visa cancellation, deportation, and prosecution
- Immediately disclose to Global Skills Connect any visa conditions, work restrictions, criminal history, or limitations on your right to work in Australia that may affect your eligibility or suitability for placement
- Attend all interviews and appointments arranged on your behalf. Provide minimum 24 hours' written notice if you need to cancel or reschedule
- Respond promptly and professionally to communications from Global Skills Connect and employer
- Not approach, directly contact, or seek employment with any employer or contact introduced through Global Skills Connect outside our Service process for a period of 12 months from the date of introduction
- Accept full personal responsibility for your career, visa, and migration decisions. Global Skills Connect provides facilitation, coordination, and advisory services - we cannot guarantee any particular outcome
- Comply with all conditions of your Australian visa and relevant Australian laws at all times
No Guarantee of Placement, Visa, or Career Outcome
Global Skills Connect does not and cannot guarantee that any Candidate will receive a job offer, be successfully placed, receive a visa grant, achieve a specific skills assessment outcome, or achieve any particular career or migration result. All outcomes depend on employer decisions, government decisions, candidate suitability, and factors entirely outside our control.
Partner Obligations
- Conduct all sourcing, recruitment, and referral activities ethically, lawfully, and transparently in accordance with applicable laws in your jurisdiction and Australia
- Comply with all anti-bribery, anti-corruption (Criminal Code Act 1995 (Cth), OECD Anti-Bribery Convention), anti-money laundering, and labour laws applicable to your operations
- Represent Global Skills Connect's Services accurately - not make misleading, deceptive, or unverified representations to candidates or employers
- Only refer candidates who have provided informed, documented, and freely given consent to their personal information being shared with Global Skills Connect and potential Australian employers
- Not charge candidates any fees in connection with Global Skills Connect's Services or Australian placements beyond what is lawfully permitted and explicitly disclosed - consistent with ILO Recruitment Fees Convention (No. 181) principles and the Modern Slavery Act 2018 (Cth)
- Handle all personal data received from Global Skills Connect in compliance with the APPs and applicable privacy laws in your jurisdiction
- Comply with the terms of your signed Partner Agreement including commission structures, exclusivity provisions, quality standards, and conduct requirements
- Not engage sub-agents or delegate partner obligations to third parties without Global Skills Connect's prior written consent
- Immediately notify Global Skills Connect of any regulatory, legal, or compliance issues affecting the partnership or any candidate referral
Fees and Payment Terms
Fees are as set out in the applicable Service Agreement or confirmed in writing before commencement. Unless otherwise stated:
- All fees are quoted in Australian Dollars (AUD), exclusive of GST
- GST is charged in addition at the prevailing rate under the A New Tax System (Goods and Services Tax) Act 1999 (Cth)
- Standard payment terms: 14 days from invoice date unless otherwise agreed
- Overdue invoices accrue interest in accordance with service aggreement from the due date until payment in full
- We reserve the right to suspend Services for Employers with overdue accounts, without liability to us
- All placement fees are non-refundable once a Candidate has accepted a job offer, subject to any replacement guarantee in the Service Agreement
- Government fees (visa lodgement charges, skills assessment fees, OSHC premiums, MARA-regulated fees) are charged as disbursements in addition to our service fees and are non-refundable once lodged with the relevant authority
- Late payment does not entitle the Employer to withhold or offset any amounts owed under the Service Agreement
Candidate Fee Transparency
Global Skills Connect does not charge Candidates fees for standard recruitment and job matching services. Any applicable fees (e.g. Job Ready preparation, Resume building, RPL preparation, skills assessment support, or visa document assistance fees payable to third parties) will be disclosed clearly in writing and agreed in writing by the Candidate before any fee-bearing service commences. We operate in accordance with the ethical standards of the Migration Institute of Australia (MIA).
Intellectual Property Rights
All Intellectual Property rights in the Website, its Content, Global Skills Connect's brand (including the "Global Skills Connect" name, logos, taglines, and service names), proprietary methodologies, templates, reports, and materials are owned by or licensed to Global Skills Connect Pty Ltd.
- You are granted a limited, revocable, non-exclusive, non-transferable licence to access and use our Website and publicly available Content for personal, non-commercial purposes only
- You must not reproduce, republish, distribute, modify, adapt, translate, reverse-engineer, scrape, or commercially exploit any Content without our prior written consent
- The "Global Skills Connect" name, logo, and associated branding are trademarks of Global Skills Connect Pty Ltd. Nothing in these Terms grants any licence to use them
- Data, research, reports, or insights produced in delivering Services to you remain our Intellectual Property unless explicitly transferred in a signed written agreement
User Content Licence
By submitting User Content (resumes, documents, forms), you grant Global Skills Connect a non-exclusive, royalty-free, worldwide licence to use, store, process, and transmit that content solely for the purpose of providing Services to you. You warrant that you have all necessary rights to grant this licence and that your User Content does not infringe any third-party rights.
Prohibited Conduct
You must not engage in any of the following conduct in connection with our Website or Services:
- Submit false, fraudulent, misleading, defamatory, or offensive information, documents, or representations
- Impersonate any person or entity or misrepresent your identity, qualifications, work rights, or organisational affiliation
- Use our Services for any unlawful, harmful, or deceptive purpose
- Attempt to gain unauthorised access to our systems, networks, servers, CRM, databases, or those of our clients or partners
- Introduce malware, viruses, ransomware, Trojan horses, or any other malicious or harmful code
- Conduct or facilitate denial-of-service attacks against our Website or infrastructure
- Systematically scrape, harvest, or extract data from our Website without prior written consent
- Post, transmit, or distribute content that is discriminatory, harassing, threatening, obscene, or unlawful
- Use our Services or partner network to facilitate human trafficking, forced labour, debt bondage, or any form of worker exploitation contrary to the Modern Slavery Act 2018 (Cth)
- Use our platform as a conduit to charge candidates unlawful, undisclosed, or excessive fees
- Engage in conduct that damages or is likely to damage the reputation, goodwill, or business interests of Global Skills Connect
- Facilitate any violation of Australian immigration law, including assisting an unlawful non-citizen to work in Australia
- Engage in any conduct that would constitute providing immigration assistance without MARA registration contrary to section 280 of the Migration Act 1958 (Cth)
Disclaimers
Without limiting the above, Global Skills Connect does not warrant that:
- Any Candidate will obtain employment, a job offer, a visa grant, a skills assessment outcome, or any particular career, migration, or educational result
- Any Employer will successfully fill any vacancy or find suitable candidates through our Services
- Information on our Website regarding visa requirements, immigration policy, skills assessment criteria, or qualification frameworks is current, complete, or legally authoritative at any time - such information is for general guidance only and subject to change by government
- The Website will operate without interruption, error, or technical defects
- Any third-party service, website, or platform linked from our Website meets any standard of quality, accuracy, or reliability
- Outcomes achievable through our Services will meet your individual expectations, timelines, or commercial objectives
Services Provided "As Available" - No Warranty
To the maximum extent permitted by applicable Australian law, our Website and Services are provided on an "as is" and "as available" basis. Global Skills Connect makes no representation or warranty of any kind - express, implied, or statutory - regarding suitability, reliability, accuracy, completeness, or fitness for a particular purpose of our Services, except as required by the Australian Consumer Law.
Limitation of Liability
To the maximum extent permitted by the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) and all other applicable law:
- Global Skills Connect will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages including loss of profits, loss of revenue, loss of data, loss of business opportunity, loss of goodwill, or wasted expenditure - however caused and under any theory of liability - even if advised of the possibility of such damages
- Our total aggregate liability to you for all claims arising under or in connection with these Terms or the Services - whether in contract, tort (including negligence), statute, or equity - will not exceed the greater of: (a) the total fees actually paid by you to Global Skills Connect in the 12 months immediately preceding the event giving rise to the claim; or (b) AUD $1,000
- We are not liable for delay, failure, loss, or damage caused by: changes to Australian immigration law, government policy, or visa programs; decisions by the Department of Home Affairs; employer decisions regarding candidates; skills assessment body decisions; acts or omissions of our Authorised Migration Partner or any other third party
- We are not liable for any loss, cost, or damage suffered by a Candidate arising from their acceptance of a job offer, relocation to Australia, or any employment relationship entered into following a placement
- We are not liable for any loss suffered as a result of your reliance on information on our Website regarding visa requirements, immigration policy, or qualification frameworks, which is provided for general guidance only
Australian Consumer Law - Non-Excludable Guarantees
Nothing in these Terms excludes, restricts, or modifies any right, guarantee, or remedy under the Australian Consumer Law that cannot lawfully be excluded. Where our liability for failure to comply with a consumer guarantee cannot be excluded, our liability is limited (at our election) to: (a) for services - re-supplying the services or paying the cost of re-supply; (b) for goods - replacing or repairing the goods or paying the cost of replacement or repair.
Indemnification
You agree to indemnify, defend (at Global Skills Connect's option), and hold harmless Global Skills Connect Pty Ltd, its directors, officers, employees, agents, contractors, insurers, and representatives from and against all claims, demands, actions, liabilities, losses, damages, costs, penalties, and expenses (including reasonable solicitor-client legal fees) arising from or in connection with:
- Your breach of any provision of these Terms or any Service Agreement
- Your submission or provision of false, misleading, fraudulent, or forged information or documentation
- Your violation of any applicable law, including Australian immigration law, employment law, privacy law, anti-discrimination law, or anti-bribery law
- Any claim by a third party arising from your conduct or use of our Services
- Your failure to comply with employer sponsorship obligations, visa conditions, award wages, or employment law (for Employers)
- Your infringement of any Intellectual Property right of Global Skills Connect or any third party
- Any regulatory fine, penalty, or sanction imposed on Global Skills Connect by a government authority as a direct result of your conduct or instructions
- Any claim arising from a candidate's employment or engagement following placement through our Services (for Employers)
Migration Services - Comprehensive Disclaimer
In relation to all migration and visa services facilitated through Global Skills Connect, the following applies without exception:
- Global Skills Connect acts solely as a coordinator, facilitator, and referral agent in respect of migration services. All formal immigration assistance, migration advice, visa application preparation, visa lodgement, and any activity constituting "immigration assistance" under the Migration Act 1958 (Cth) is performed exclusively by, or under the direct supervision of, our MARA-registered Authorised Migration Agent - Amrit Tewari (MARA 1382952)
- Before any MARA-regulated activity is undertaken on your behalf, the identity, MARA registration number, and contact details of the acting migration agent will be disclosed to you in writing
- Information on our Website regarding visa subclasses, eligibility criteria, processing times, document requirements, and immigration pathways is provided for general guidance and educational purposes only. It does not constitute immigration advice, legal advice, or a professional opinion and must not be relied upon as such
- Australian immigration law, Department of Home Affairs policies, visa processing requirements, and government fees are subject to change by the Australian Government at any time without notice. Global Skills Connect does not warrant the currency, completeness, or accuracy of immigration information on our Website at any time
- The authoritative and legally binding source for all Australian immigration information is the Department of Home Affairs at immi.homeaffairs.gov.au
- Global Skills Connect does not guarantee and expressly disclaims any representation regarding the outcome of any visa application, visa grant, nomination, skills assessment, or immigration-related process
- Refusal of a visa application does not entitle you to a refund of Global Skills Connect's service fees or any government lodgement fees, which are non-refundable once lodged
- You are strongly encouraged to obtain independent advice from a MARA-registered migration agent or Australian Legal Practitioner before making any decisions regarding your immigration status
CRITICAL - MIGRATION SERVICES DISCLAIMER - PLEASE READ CAREFULLY
Global Skills Connect Pty Ltd (ABN 37 682 821 049) works with Registered Migration Agent. Global Skills Connect Pty Ltd provide immigration assistance as defined in section 276 of the Migration Act 1958 (Cth). Providing immigration assistance for a fee or reward without MARA registration constitutes a criminal offence under section 280 of the Migration Act 1958 (Cth), punishable by imprisonment.

Employment Services Disclaimer
- Global Skills Connect is not the employer of any Candidate placed through our Services, unless explicitly stated in a separate written labour hire or temporary staffing agreement signed by both parties
- The employment relationship, once established, exists exclusively between the Candidate and the Employer client. Global Skills Connect is not a party to that relationship and accepts no liability arising from it
- Salary, remuneration, and employment conditions described in job listings are indicative only and subject to negotiation and agreement between Employer and Candidate
- Candidates are solely responsible for conducting their own due diligence on prospective employers and employment opportunities before accepting any offer
- Global Skills Connect is not liable for any unfair dismissal, workplace injury, occupational health and safety breach, underpayment of wages, award non-compliance, or other employment-related claims arising between a Candidate and Employer following placement
- Global Skills Connect does not operate as a licensed labour hire provider except where specifically engaged under a separate written agreement compliant with applicable State and Territory labour hire licensing legislation (including the Labour Hire Licensing Act 2018 (Qld), Labour Hire Licensing Act 2018 (Vic), and Labour Hire Licensing Act 2017 (SA))
- All employment relationships facilitated through our Services must comply with the Fair Work Act 2009 (Cth), applicable Modern Awards, National Employment Standards (NES), and all applicable State and Territory employment legislation

Modern Slavery and Ethical Business Practices
Global Skills Connect is committed to complying with the Modern Slavery Act 2018 (Cth) and does not tolerate any form of modern slavery, forced labour, human trafficking, debt bondage, deceptive recruiting, or child labour in our operations, supply chain, or through any partner or associated entity.
- All Partners are contractually required to maintain equivalent anti-slavery standards as a condition of engagement
- We do not permit the use of our Services or partner network as a conduit for any conduct that would constitute modern slavery under the Modern Slavery Act 2018 (Cth) or under any applicable international convention
- Suspected modern slavery activity may be reported to the Australian Border Force at homeaffairs.gov.au
- Our Global Skills Connect Modern Slavery Statement (where applicable) is published separately on our Website
Termination and Suspension
Global Skills Connect may immediately suspend or permanently terminate your access to the Website and Services without prior notice and without liability upon:
- Breach of any provision of these Terms or any Service Agreement
- Submission of false, fraudulent, or misleading information or documentation
- Conduct that is or may be harmful, illegal, or damaging to Global Skills Connect, its clients, partners, or third parties
- Requirement by law, court order, regulatory direction, or government authority
- Insolvency, bankruptcy, liquidation, administration, or receivership (for Employer or Partner entities)
- Loss or suspension of any required licence, permit, or professional registration relevant to the engagement
- A determination that continuation of the relationship would be contrary to our ethical, legal, or regulatory obligations
Governing Law and Jurisdiction
These Terms and all disputes or claims arising out of or in connection with them (including non-contractual disputes) are governed by the laws of the State of New South Wales, Australia and the laws of the Commonwealth of Australia.
Subject to Section 21, you irrevocably submit to the exclusive jurisdiction of the courts of New South Wales, Australia (and all courts of appeal therefrom) for the resolution of all disputes. If you access our Services from outside Australia, you do so at your own initiative and are responsible for compliance with local laws in your jurisdiction.
Dispute Resolution
The parties are committed to resolving disputes through good-faith negotiation before resorting to formal legal proceedings.
- Written Dispute Notice: The party claiming a dispute must give written notice to the other party describing the dispute in reasonable detail and the outcome sought. Notice to Global Skills Connect must be sent to inquire@globalskillsconnect.com.au with subject line "Formal Dispute Notice".
- Acknowledgement: Global Skills Connect will acknowledge receipt within 5 business days.
- Good-Faith Negotiation: Parties will attempt to resolve the dispute through good-faith direct negotiation within 20 business days of the notice date (or such extended period as agreed in writing).
- Mediation: If unresolved through negotiation, either party may refer the dispute to mediation administered by the Australian Disputes Centre (ADC) in Sydney, NSW, or a mutually agreed accredited mediator. Mediation costs will be shared equally unless otherwise agreed or ordered.
- Litigation: If mediation fails, is declined, or is not commenced within 10 business days of a written request for mediation, either party may commence legal proceedings in the courts of New South Wales.
Urgent Relief
Nothing in this clause prevents either party from seeking urgent injunctive, interlocutory, or other urgent relief from a court of competent jurisdiction to protect rights, confidential information, or Intellectual Property, without first complying with the negotiation or mediation procedure.
Force Majeure
Global Skills Connect will not be in breach of these Terms or liable for delay or failure to perform obligations to the extent caused directly or indirectly by a Force Majeure Event, meaning any event beyond our reasonable control including: acts of God, natural disasters, floods, fires, earthquakes, pandemics, public health emergencies, war, terrorism, civil unrest, strikes or industrial action affecting third parties, changes to Australian immigration law or government visa policy, government moratoriums, failure of telecommunications or internet infrastructure, cyberattacks, or power failures.
Where a Force Majeure Event continues for more than 30 consecutive days, either party may terminate the affected Service by 7 days' written notice without further liability (other than for fees earned and accrued prior to termination).
Miscellaneous Provisions
23.1 - Entire Agreement
These Terms, together with our Privacy Policy and any applicable Service Agreement, constitute the entire agreement between you and Global Skills Connect with respect to their subject matter and supersede all prior agreements, negotiations, representations, and understandings - whether oral or written.
23.2 - Amendments
We reserve the right to modify these Terms at any time. Material changes will be communicated by posting an updated version on our Website with a revised effective date and by email notification to registered users. Your continued use of our Services after the effective date constitutes acceptance. If you disagree, you must cease using our Services.
23.3 - Severability
If any provision is found invalid, illegal, void, or unenforceable by a court of competent jurisdiction, that provision will be severed. The remaining provisions continue in full force and effect. The parties agree to negotiate in good faith a replacement provision achieving the original commercial intent to the greatest extent possible.
23.4 - Waiver
No failure or delay to exercise any right under these Terms operates as a waiver of that right. A waiver must be in writing and signed by an authorised representative of Global Skills Connect to be effective.
23.5 - Assignment
You may not assign, transfer, or sub-license your rights or obligations without Global Skills Connect's prior written consent. Global Skills Connect may assign its rights and obligations to a related body corporate or successor in connection with a merger, acquisition, corporate restructure, or asset sale - on written notice to you.
23.6 - Relationship of the Parties
Nothing in these Terms creates an employment relationship, joint venture, partnership, trust, franchise, or agency relationship (except as expressly stated in writing) between you and Global Skills Connect. We are independent service providers. Neither party has authority to bind the other to any obligation without express written agreement.
23.7 - Electronic Communications
You agree Global Skills Connect may communicate with you electronically, and that electronic communications satisfy any "in writing" requirement under these Terms or applicable law. An electronic signature constitutes a valid signature for the purposes of any Service Agreement entered into under these Terms.
23.8 - Cumulative Remedies
The rights and remedies of Global Skills Connect under these Terms are cumulative and not exclusive of any rights or remedies provided by law. No single or partial exercise of any right precludes any further or other exercise of that right or any other right.
23.9 - No Third-Party Beneficiaries
These Terms are for the exclusive benefit of Global Skills Connect and you. Nothing in these Terms confers any rights or benefits on any third party, and no third party has any right to enforce any provision of these Terms.
